  • Paid plans renew automatically unless you cancel before the renewal date.
  • We may update these Terms; continued use means you accept the new version.

1. Agreement to Terms

By accessing or using the Service provided by {{COMPANY_LEGAL_NAME}} (“{{COMPANY_BRAND_NAME}}”, “we”, “our”, or “us”) at {{COMPANY_DOMAIN}}, you agree to be bound by these Terms of Service (the “Terms”) and all referenced policies, including our Privacy Policy, Security Overview, and Acceptable Use Policy.

If you do not agree with these Terms, you must not access or use the Service. If you are using the Service on behalf of a company or organization, you represent and warrant that you are authorized to accept these Terms on its behalf.

2. Eligibility & Account

You may use the Service only if you:

  • are at least the age of majority in your jurisdiction; and
  • have the legal capacity to enter into a binding contract; and
  • comply with all applicable laws when using the Service.

Access may be provided via Single Sign-On (SSO) or integrations with third-party identity providers. You are responsible for maintaining the security of your authentication credentials and for all activities that occur under your account.

3. Description of the Service

{{COMPANY_PRODUCT_NAME}} is an AI-powered content and workflow automation platform. It may use third-party AI models and APIs (for example, large language models, publishing APIs, analytics tools) to generate, transform, or distribute content on your behalf.

We may update, enhance, or remove features from the Service at any time, with or without notice, provided such changes do not materially reduce the core functionality of your paid plan during an active billing period.

4. Customer Content & Ownership

“Customer Content” means any text, data, files, prompts, instructions, media, or other materials you or your users submit to or through the Service.

  • You retain full ownership of your Customer Content.
  • You grant {{COMPANY_LEGAL_NAME}} a worldwide, non-exclusive, royalty-free license to host, process, store, display, and transmit Customer Content solely as necessary to provide and improve the Service, comply with law, and prevent abuse.
  • You are responsible for ensuring that Customer Content does not infringe any third-party rights and does not violate the Acceptable Use Policy.

5. Generated Output

The Service may produce AI-generated content (“Output”) based on your inputs and instructions. Subject to these Terms and applicable law, and except where restricted by third-party API providers, you may use such Output for your business purposes.

Due to the probabilistic nature of AI, Output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating all Output before using it in production, publishing it, or relying on it for critical decisions.

6. Acceptable Use

You agree not to misuse the Service. Prohibited activities include, without limitation:

  • violating any applicable law or regulation;
  • reverse-engineering or attempting to extract underlying models or source code;
  • sending spam, phishing, malware, or harmful code;
  • attempting to bypass usage limits, security, or access controls;
  • generating or distributing illegal, hateful, or abusive content;
  • using the Service for surveillance or rights abuses;
  • misrepresenting AI-generated content as human when required disclosures apply.

Additional restrictions and examples are provided in our Acceptable Use Policy (AUP), which is incorporated by reference into these Terms.

7. Third-Party Services & APIs

Some features rely on third-party services (for example, AI providers, social platforms, analytics tools, SSO providers). Your use of such services may be governed by separate terms and privacy policies.

Where you connect your own API keys or accounts (e.g., posting to LinkedIn or other networks), you are solely responsible for any fees, usage, and compliance arising from those connections.

8. Plans, Billing & Renewals

If you subscribe to a paid plan:

  • Fees are billed in accordance with the plan selected and any applicable order form.
  • Unless otherwise stated, subscriptions automatically renew at the then-current price.
  • You may cancel before the next renewal date to avoid future charges.
  • Paid fees are generally non-refundable except where required by law.

We may change prices or plan features for future billing periods, with reasonable notice.

9. Confidentiality & Security

We will maintain appropriate administrative, technical, and organizational measures designed to protect your data as described in our Security Overview and Privacy Policy.

You acknowledge that no online service can be completely secure, and you agree to implement reasonable security controls on your side (e.g., secure SSO, role management, device hygiene).

10. Data Protection & DPA

Where {{COMPANY_LEGAL_NAME}} acts as a data processor on your behalf, our Data Processing Agreement (“DPA”) supplements these Terms and governs our processing of personal data. In the event of conflict between the DPA and these Terms regarding personal data processing, the DPA will prevail.

You are responsible for ensuring that your use of the Service complies with applicable privacy and data protection laws (including, where applicable, GDPR, PIPEDA, and any provincial/territorial regulations).

11. Intellectual Property

The Service, including all software, user interface, designs, logos, and underlying technology, is owned by {{COMPANY_LEGAL_NAME}} or its licensors and is protected by intellectual property laws.

You receive a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.

12. Suspension & Termination

We may suspend or terminate your access to the Service if:

  • you materially breach these Terms or the AUP;
  • your use poses security, legal, or reputational risk; or
  • we are required to do so by law or competent authority.

Upon termination, your right to use the Service will cease. We may retain certain data as required by law or as described in the Privacy Policy.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that any Output will be accurate, complete, or suitable for your specific use case.

14. Limitation of Liability

To the fullest extent permitted by law, {{COMPANY_LEGAL_NAME}} and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or, if you use the Service free of charge, CAD $100.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email, in-app notification, or by updating the “Last updated” date).

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

16. Governing Law & Disputes

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in {{COMPANY_CITY}}, Québec, Canada, unless applicable law requires otherwise.
